Overview

Shannon Calamia Izett has experience representing startup and emerging growth companies in all stages of their corporate lifecycle. Shannon advises on pre-incorporation planning, formation, development of equity incentive plans, general corporate counseling, venture capital and debt financings, mergers and acquisitions, public market transactions and dissolution events. She negotiates small to medium-sized venture financing deals and regularly negotiates and conducts diligence on mergers and acquisitions, asset sales and strategic partnership agreements.

Shannon has particular experience with public markets, including assisting on a private investment in public equity (PIPE) transaction, working on multiple follow-on public offerings, assisting in counseling underwriters in an at-the-market (ATM) offering, participating in the drafting of a reverse Dutch auction offering and representing corporate clients in their acquisition by publicly held companies. She has advised Delaware and California corporations, as well as limited liability companies.

In the biotech industry, Shannon represents companies in their formation, venture financing, debt transactions and development of strategic partnership relationships. She conducts major due diligence on large biotech companies, including review of clinical trial data, regulatory approvals, intellectual property ownership and general corporate diligence. In addition, Shannon works with clients in the fintech industry, including companies developing and operating in the cryptocurrency area.

Maintaining an active pro bono practice, Shannon represents nonprofits on their formation, application of tax exemption and licensing issues, and she advises on IRS regulations and internal nonprofit protocols and restrictions associated with political lobbying efforts. Shannon also volunteers at local clinics, representing tenants in landlord tenant settlement negotiations. While earning her J.D. at Santa Clara University School of Law, Shannon served as president of the Student Bar Association.
