Representative Project Finance Transactions

  • Solar: Represented a leading utility in connection with the development, acquisition and sale-leaseback financing of a solar power project in southern Oregon.
  • Solar: Guided the end users and related financing parties in various solar and solar thermal projects located on military installations in Arizona, California, Colorado, Hawaii, New Mexico and North Carolina.
  • Geothermal: Counseled a leading international geothermal developer in the construction and financing of geothermal projects in Utah and New Mexico.
  • Hydrothermal:   Represented a Canada-based lender in the project financing of hydrothermal projects in Oregon and Idaho.
  • Water and Sewer:  Represented a state in its proposed sale-leaseback of federally funded and municipally owned water and sewer facilities and a related agreement with the U.S. Environmental Protection Agency.
  • Student Housing:  Advised a national developer in the development of student housing (multi-unit structures) financed with private equity and 501(c)(3) private activity bonds.
  • Transportation: Served as counsel to ann infrastructure fund in evaluating and preparing a bid in response to an RFP by the City of Chicago for the Chicago Skyway privatization.
  • Airport Infrastructure: Represented the partners of a development team in preparing a bid in response to an RFP by the City of Chicago for the redevelopment of the international terminal at O'Hare International Airport.
  • Military Projects:  Counseled the sponsor and project companies in the financing of family housing, lodging and infrastructure projects for the Army, Air Force, Navy and Marines on bases throughout the country, with an aggregate value in excess of $4 billion, using structures that included  including 144A bond issuances, private placements and securitizations, and senior and subordinated debt.
  • Transportation:  Represented a construction contractor in the development, construction and financing of a tolled suspension bridge in the state of Washington.

In re Rincon Island Limited Partnership

Represent DIP lender to the Chapter 11 debtor during its bankruptcy case.

Achieved Payment and Reduced Risks for Owner of Decommissioned Power Plant*

Represented the owner of decommissioned electrical power plants that contracted for their demolition and the recovery of scrap metal in a case where the scrap company breached its contracts, created substantial environmental exposure and then filed for Chapter 11. The bankruptcy court approved the lock out of the contractor and dismissed the debtor’s counterclaim litigation. This ultimately provided a resolution for a substantial payment to the owner.

Served as Lenders' Counsel in Variety of Real Property Chapter 11 Cases:*

Represented lenders in numerous Chapter 11 cases involving real property assets, including apartment complexes, golf courses, nursing homes, assisted living centers, office buildings, distribution centers, specially constructed buildings, retail centers, strip malls and shopping malls.

Represented Lender to Construction Equipment Company in BK*

Represented American Bank of Texas in Lewis Equipment Company, Inc. case; Lewis owns, rents and operates a variety of cranes used in a wide variety of construction projects around the USA.

Advised in One of the Largest Not-for-Profit Chapter 11 Cases*

Served as Creditors' Committee counsel in National Benevolent Association, a not-for-profit corporation that owns and operates senior living facilities and facilities for developmentally disabled adults and juveniles. NBA is one of the largest not-for-profit corporations to seek Chapter 11 relief.
