DENVER (December 23, 2021)—Perkins Coie is pleased to have represented Crocs, Inc., a world leader in innovative casual footwear for women, men, and children, in its definitive agreement to acquire HEYDUDE™, a privately owned casual footwear brand, for $2.5 billion. The purchase price of $2.5 billion will consist of $2.05 billion in cash and $450 million in Crocs shares. The transaction is expected to close in the first quarter of 2022, subject to customary closing conditions and regulatory approval.

Perkins Coie’s deal team included the firmwide chair of the Corporate practice, Jason Day, along with the firmwide chair of the Mergers & Acquisitions practice Jeff Beuche, and associates Blake Schell, Clifford Gleaves, and Sara Schroeder.
