Overview

Nick Franzen focuses his practice on real estate and business transactions.

In his real estate practice, Nick regularly counsels a variety of clients in connection with the acquisition, financing, and disposition of real property. Nick drafts and negotiates leases, purchase and sale agreements, covenants, and easements; conducts due diligence; advises on title and survey issues and title insurance; and manages closings.

Nick is involved in a variety of complex transactions including sale-leasebacks, industrial ground leases, option agreements, and parcel swaps. He has significant experience representing homebuilders in connection with financing, due diligence, and acquisition of land. He also regularly assists high-net-worth individuals and family offices with property acquisitions and dispositions and related estate planning needs.

Recently, Nick represented Les Schwab Tire Centers, a 68-year old family-owned business and leading tire retailer and service center operator, in its sale to Meritage Group. Other notable work includes the representation of multiple sellers in two large urban land assemblage transactions, the representation of a Fortune 500 company in its $1 billion acquisition of a logistics company and its real estate assets, the representation of a multinational corporation in connection with due diligence and site acquisition, and representation of a housing developer in a complex multiphase site acquisition.

In addition to real estate transactions, Nick frequently represents clients in connection with entity formation and governance and business transactions such as stock sales, secured transactions, and the drafting and negotiation of various commercial contracts.

Nick also maintains an active pro bono practice ranging from negotiating a build-to-suit lease for a food bank to representing a community center in its acquisition and financing of a new property.
