Business organizations promote and support philanthropy in a variety of ways, ranging from corporate foundations, direct charitable giving and commercial co-venture arrangements. This CLE will discuss the various options available to corporations and their respective legal issues, pitfalls and implications. We also will provide practical guidance and our perspectives on the integration of corporate philanthropy with the mission and brand of a business organization and employee programs.

Speakers
Richard L. Sevcik Partner, Firmwide Co-Chair, Tax-Exempt Organizations Practice - A seasoned tax and transactional partner with roughly 30 years of experience, Richard represents numerous nonprofit organizations, public charities, private foundations, healthcare systems, as well as colleges and universities. Rick’s areas of counsel encompass entity formation, ongoing operations and management, governance, reporting obligations and issues that arise in transactions involving exempt organizations. Rick has a substantive practice counseling healthcare providers and industry participants, including representing exempt healthcare systems and hospitals in connection with corporate governance, tax compliance, transactions and joint ventures, tax exempt bond financings, and IRS reporting and community benefit issues. Rick has represented a number of healthcare systems in connection with their integration with physicians, other providers and business enterprises.

Jeff Neterval, Senior Corporate Counsel, American Girl is a corporate generalist attorney with substantial in-house and large private law firm legal experience. His internal and external marketing, business development, operations, HR and IT clients have often commented on their appreciation for his enthusiasm and ability to craft and create solutions to the unique challenges frequently encountered while formalizing business agreements. His specialties include commercial contracts, general corporate matters, licensing transactions, real estate sales and acquisitions, office and retail leasing and real estate development. Jeff is a graduate of Harvard Law School.
