Shaun focuses on complex real estate transactions—acquisitions, joint ventures, financing, leasing, and M&A real estate matters—representing private equity funds, investors, developers, lenders, and financial institutions.

Shaun K. Devereaux advises clients on the acquisition, disposition, financing, development, and joint venture structuring of major commercial real estate portfolios and assets. His work spans the hospitality, retail, industrial and logistics, office, entertainment, data center, life sciences, and multifamily sectors. Shaun regularly structures and negotiates sophisticated real estate finance transactions, including mortgage, construction, mezzanine, and portfolio loan financings, as well as distressed debt workouts, restructurings, and deed-in-lieu transactions. He also represents CMBS special servicers in complex loan portfolio transactions, including modifications, assumptions, and note sales. In addition, Shaun drafts and negotiates ground leases, space leases, subleases, and license agreements for multinational landlords and tenants in the manufacturing, aviation, energy, data center, and retail sectors. He also oversees complex title, survey, zoning, and other due diligence for both standalone real estate and M&A-related transactions.

Maintaining an active pro bono practice, Shaun assists nonprofit entities with their real estate financing and transaction-based needs and assists in the expansion of housing facilities for low-income and at-risk individuals and youth.

Hydrofarm Holdings Group, Inc. Acquisition of Aurora Innovations Inc.

Represented Hydrofarm Holdings Group, Inc. in the acquisition of Aurora Innovations, LLC (formerly Aurora Innovations Inc.). Aurora International, LLC (formerly Aurora International, Inc.) and Gotham Properties LLC, an Oregon-based manufacturer and supplier of organic hydroponic products with locations in the United States and Canada.

  • $1 Billion Mixed-Use Luxury Development 

    Represented a developer in the $1 billion acquisition, JV formation, development, and construction financing of a mixed-use luxury apartment and condominium complex. Negotiated JV, senior and mezzanine construction financing, and development, engineering, and architectural documentation and contracts. Conducted comprehensive real estate due diligence. Coordinated all accompanying condominium formation documentation.

  • Acquisition & Joint Venture for California Boutique Hotel Portfolio

    Represented a private equity firm in the acquisition, joint venture, and financing of a portfolio of five independent boutique hotels in California. Negotiated the purchase and sale agreement. Oversaw cross-functional diligence teams (environmental, labor, and tax). Structured and negotiated hotel management and operating leases. Advised on senior and mezzanine debt and related intercreditor agreements.

  • Nationwide Hotel Loan Portfolio Sale and Assumption (48 Properties)

    Represented the lender in a nationwide sale and assumption of a 48-hotel loan portfolio. Assisted with and directed diligence efforts. Drafted core and ancillary loan documentation. Coordinated end-to-end closing matters across multiple jurisdictions and collateral types, including flagged and non-flagged hotel assets.

  • Acquisition of Two Arizona Shopping Centers and Related Joint Venture

    Represented a REIT in the acquisition of two shopping centers in Arizona. Conducted leasing and title diligence (including REA and co-tenancy analysis). Assisted in the negotiation of a joint venture with the seller. Managed post-closing transition matters.

  • $101 Million Senior Housing Portfolio Loan Sale, Modification & Assumption (14 properties)

    Represented a special servicer in connection with a sale, modification, and assumption of a $101 million loan secured by a 14-property senior housing portfolio. Advised on loan restructuring. Negotiated the assumption and modification agreement and all ancillary loan documents. Coordinated all related diligence and closing matters.
