Overview

Troy Hickman, a partner in the firm's Corporate practice, has a wide-ranging business practice encompassing acquisitions and divestitures, joint ventures, fund creations and investments, family office representation, commercial contracts, and entity formation and governance matters. While most of his buying and selling representation is industry agnostic, he has developed particular experience in aerospace and defense transactions, having closed dozens of deals in this industry segment, including several cross-border transactions.

As the lead of the firm’s limited liability company and partnership group he works with clients on complex joint ventures, funds, and operating partnerships to accurately reflect the nuances of each transaction. He regularly assists with family-owned businesses and family offices in a variety of transactions and is very familiar with the unique challenges associated with multi-generational involvement and succession planning. His experience with complex partnerships has enabled him to work on matters such as restructuring professional sports franchises and public-private joint ventures on behalf of the University of Washington.

Troy has represented private equity funds in formation, acquisitions, portfolio company maintenance and divestitures, as well as representing companies being sold to private equity buyers and he understands the dynamics at play in these types of deals.

Some of Troy's recent experience includes:

  • Representing a family-owned business in a $1.7B sale to a publicly-traded aerospace company.
  • Assisting a restaurant franchise in a restructuring of its operations to enable it to better obtain bank financing.
  • Negotiating a joint venture between an inventor and university researchers regarding the testing and commercialization of a novel cancer treatment enhancement.
  • Orchestrating the dissolution of a multi-family, multi-generational enterprise involving 20+ entities and real estate located in several states.
