Sam turns complex technology and privacy issues into clear, actionable deal terms.
Sam Hong focuses his practice on technology and intellectual property (IP)-related transactions, complex outsourcing, as well as the technology-related aspects of mergers and acquisitions (M&A), debt financing transactions, and other corporate matters. Sam has significant experience in supporting complex M&A transactions of all sizes and in all industries, including with respect to ancillary arrangements (e.g., transition service agreements) and post-merger integration issues.
Clients rely on Sam for his knowledge of complex outsourcing arrangements, patent licensing, and negotiating a wide range of commercial agreements relating to IP and technology in all fields. He has experience leading buy and sell-side teams through every stage of an acquisition—IP diligence, data-use audits, cybersecurity risk reviews, and post-close license realignments—so value is protected, and timelines stay on track. From multibillion-dollar carve-outs to joint ventures, Sam structures and negotiates the commercial, licensing, and data-sharing agreements that power growth while keeping regulators satisfied. Clients trust his crisp, business-first advice to spot red-flag risks early, bridge gaps at the negotiating table, and close technology-driven deals with confidence.
