Print bio

Sam turns complex technology and privacy issues into clear, actionable deal terms.

Sam Hong focuses his practice on technology and IP-related transactions, complex outsourcing, as well as the technology-related aspects of M&A, debt financing transactions, and other corporate matters. Sam has significant experience in supporting complex M&A transactions of all sizes and in all industries, including with respect to ancillary arrangements (e.g., transition service agreements) and post-merger integration issues.

Clients rely on Sam for his experience in navigating full-scale outsourcing arrangements, patent licensing, and negotiating a wide range of commercial agreements relating to IP and technology in all fields.  His commercial knowledge is informed by his M&A experience, identifying and mitigating technology and IP risks for both acquirors and sellers. Clients particularly appreciate Sam for his “deal-first” approach that prioritizes helping clients find and implement solutions, rather than pointing out theoretical problems.
