Financial Transactions practice attorney Nina Varughese advises domestic and multinational institutions on all aspects of secured lending, project finance, asset securitization, municipal and corporate debt, cross-border financings, private placement financing, second lien and inter-creditor arrangements. Nina has provided trust representation in asset securitization transactions, real estate backed transactions, such as RMBS and CMBS transactions, structured vehicles, including CLOs and CDOs, and commercial paper conduits. She has experience in representing corporate trustees, administrative agents, servicers and subservicers, collateral agents, custodians, depositaries and paying agents, administrative agents as well as other service providers in connection with a vast range of financial transactions.
Nina represents clients in public finance transactions, where she negotiates and drafts agreements, contracts and legal opinion letters, conducts due diligence, manages Uniform Commercial Code (UCC) reviews and filings, and advises on title and survey issues. She has represented financial institutions and corporate clients in state and federal commercial litigation, and she has experience counseling clients on bankruptcy-related and restructuring matters.
Nina has authored several articles and presented on various financial transactions and bankruptcy issues.
