Overview

Heather Karell is a partner in the Technology Transactions & Privacy practice, where she focuses on complex commercial transactions, technology and intellectual property licensing, and privacy and data protection matters. Her practice involves licensing, mergers and acquisitions, and strategic counseling for clients ranging from emerging companies to public corporations in the technology, energy, life sciences, software, internet, communications, retail, and advertising industries.

Heather provides practical advice and counseling on issues related to the development, licensing, and commercialization of technology; strategic alliances and joint ventures; outsourcing and procurement; manufacturing, supply, and distribution arrangements; and advertising and marketing strategies. Her experience includes structuring and negotiating collaboration, development, supply, distribution, license, and service agreements, and she frequently advises clients on intellectual property and technology issues arising in the context of strategic transactions.

In addition, Heather works with a broad range of companies on privacy, data security, social media, and e-commerce matters. Her practice includes advising on issues related to consumer protection, product and service launches, the Internet of Things (IoT), cross-border data transfers, online and mobile advertising, and co-branding arrangements. Heather provides support in reviewing clients’ products and services; drafting online terms and conditions and privacy policies; drafting and negotiating privacy and data security provisions in commercial agreements; and advising clients on compliance with regulations and industry standards.

Heather’s energy sector experience includes advising clients on matters related to renewable energy projects and drafting and negotiating asset purchase and sale agreements, operation and maintenance agreements, technology procurement agreements, and service agreements. Heather has assisted clients with issues related to wholesale power supply and interconnection agreements, strategic collaborations and joint ventures, requests for proposals (RFPs), and equipment and software procurement. She has additional experience pertaining to real estate transactions, land use, and environmental compliance.
