Greg Ostrander is a counsel in the firm's Corporate practice, focusing on representing corporate and private equity clients in a variety of transactions, including mergers and acquisitions, stock and asset sales and purchases, leveraged buyouts, joint ventures, the formation of private equity and real estate funds, other pooled investment vehicles, and secondary transactions. In addition, he has counseled both public and private company clients on a range of general corporate governance matters, including fiduciary duty obligations and securities law matters, including Securities Act, Investment Company Act and blue sky compliance matters. His transactional experience encompasses a number of industries and market segments, including intellectual property, education, real estate, manufacturing and agriculture.
Greg has represented clients from a range of investment and pooled capital funds, including leveraged buyout funds and real estate funds. He provides guidance in the creation of limited partnerships, limited liability companies, corporations and offshore vehicles, as well as pooled vehicles that may be exempt from registration and other regulations that apply to traditional investment companies, and helps develop the necessary documentation—including private placement memoranda, limited and general partnership agreements, subscription booklets and other obligatory communications—in connection with such investment vehicles.
