Overview

David Dedyo is a partner in the firm’s Corporate practice and has more than 25 years of experience counseling clients on corporate and transactional matters.

David has worked extensively with public and private companies, banks and non-bank lenders, private equity sponsors and their portfolio companies, and other market participants in all aspects of secured and unsecured debt financings across a range of structures, including syndicated credit facilities, venture debt, second lien and subordinated loans, asset-based loans, convertible loans, project financings and acquisition financings, and covering a broad range of collateral types, including technology.

David also has substantial experience advising strategic and financial buyers and sellers in M&A transactions, with a focus on the middle market, and has represented issuers and investors in both private and public equity financings.

In addition to his transactional practice, David counsels clients on SEC reporting and general corporate governance matters.

  • Representation of a cloud content management services business in its $100,000,000 secured revolving credit facility.

  • Representation of a data backup and recovery business in its $15,000,000 growth capital loan.
  • Representation of a private equity firm in its acquisition of a distributed denial-of-service (DDoS) mitigation service company.
  • Representation of a bank in several project financings of solar projects in California and elsewhere and related interparty arrangements with tax equity investors.
