Client:

Huntley & Huntley, Inc. (Huntley) is a privately owned, Pennsylvania-based oil and natural gas exploration and production company, more than 100 years old, with interests in several hydrocarbon basins throughout the United States.

Issue:

Perkins Coie has represented Huntley in connection with acquisitions, dispositions and other matters for several years. Huntley sought to leverage its core assets, which primarily consist of hydrocarbon-producing properties. Its goals were to increase liquidity and establish a strategic partnership to develop properties in the Marcellus Formation in the Eastern United States.

Challenge:

The desired transaction had to allow for a significant influx of capital with a strategic private equity partner while also ensuring our client’s ability to maintain control over the operational aspects of Huntley’s exploration plan.

Solution:

Perkins Coie attorneys participated in the negotiation and implementation of a transaction structure that provided the private equity investor with a significant oil and gas property portfolio. The deal also offered opportunities for continued expansion while at the same time providing liquidity and the operational control that Huntley sought. Our counsel touched all aspects of the transaction, ranging from negotiation of the terms to completion of the required post-closing actions.
