Firmwide Vice Chair, Private Equity Practice
Ted Wern is a partner in Perkins Coie's Business group and the vice chair of the firm's Private Equity subgroup. Ted regularly represents public and private companies, startup ventures, private equity funds and investor groups in a variety of complex transactions, including mergers & acquisitions, recapitalizations, early and late stage equity financings, joint ventures, strategic alliances and general corporate counseling. His transactional experience encompasses numerous industries and market segments, including manufacturing, distribution, technology, hospitality, real estate, healthcare, consumer products, energy, transportation and general service businesses.
Representative Experience:
- Represent investor groups, family offices and publicly traded companies in a wide variety of acquisition and sale transactions, including corporate carve-out transactions and leveraged buyouts
- Provide a wide range of corporate finance assistance, including early and late stage growth investments, preferred equity and convertible debt offerings, and senior/subordinated financing
- Represent investor groups and businesses in formation and structuring of corporations, limited liability companies, partnerships, joint ventures and strategic alliances
- Advise management and employers regarding incentive compensation, equity sharing and employment arrangements
- Act as outside counsel to a variety of early and later-stage companies with respect to general corporate, licensing and intellectual property matters
