Project Finance |
Overview
Most secured financing transactions and restructurings involve a broad range of issues requiring experience in many areas of law. In response to these complexities, our Project Finance group is able to draw on experience from several fields of practice, including energy, international, corporate, environmental, real estate, equipment finance, bankruptcy and tax, enabling us to provide effective representation for our clients. We provide legal representation on a wide range of domestic and international projects and transactions. Our experience includes representing entities in many different roles, including multilateral and other lenders, sponsors, developers, institutional investors, contractors and operators.
Our attorneys have significant experience in helping clients navigate the complexities of each phase of a transaction, including preliminary evaluation and due diligence; federal and local tax issues; interfacing with local counsel; drafting, reviewing and negotiating project documents such as term sheets, construction , ground leases, financing agreements and security documents; and permitting, environmental and land use matters.
In addition to various forms of credit support, we have assisted clients with structuring and documenting numerous types of financings, including non-recourse and limited-recourse debt, bonds, equity, leveraged leases, and mezzanine debt. We also have extensive experience in debt restructurings — both inside and outside of bankruptcy.
