Greg represents corporate and private equity clients in a variety of transactions.
Corporate lawyer Greg Ostrander helps clients in a variety of transactions, including mergers and acquisitions, stock and asset purchases and sales, joint ventures, financing transactions on both the lender and the borrower side, and the formation of private equity, debt and real estate funds. In addition, he counsels numerous private companies on complex limited liability company operating agreements and formation issues. His transactional experience encompasses a number of industries and market segments, including restaurant, education, real estate, manufacturing and agriculture.
Greg has represented clients from a range of investment and pooled capital funds, including leveraged buyout funds and real estate funds. He guides them in the creation of limited partnerships, limited liability companies, corporations and offshore vehicles, and helps develop the necessary documentation—such as private placement memoranda, limited and general partnership agreements, subscription booklets and other obligatory communications—in connection with these investment vehicles.
Greg also works on financing transactions and often represents non-traditional lenders in term loan transactions with private borrowers. These transactions frequently involve secured and unsecured loans with credit support from sponsor guaranties, put options and equity components.
