Energy Commercial Transactions & Project Finance |
Overview
Energy is increasingly central to economic, policy and environmental issues. Governments and businesses are researching better, more efficient alternatives to traditional energy projects. Perkins Coie provides legal services to sponsors, lenders, contractors, utilities, developers and governments involved in the development and deployment of utility system and independent power projects using traditional and innovative sources. Our attorneys have been involved in numerous coal, gas, nuclear, wind, hydroelectric, cogeneration, geothermal, ethanol, biodiesel and other alternative energy projects. We are experienced in all aspects of project permitting and development, including: - Tariff structuring and regulatory advice;
- Power sales, exchange, interconnection and transmission contracts, and government support undertakings;
- Project acquisition agreements;
- Construction and supply agreements;
- Tolling agreements;
- Operation and maintenance contracts;
- Credit support, financial derivative and financing documents, including leveraged lease transactions; and
- Project finance.
Our lawyers have helped pioneer transactions in jurisdictions where independent power was a relatively new concept and in jurisdictions where independent energy projects are common. Employing BOO, BOT and related structures, we have created successful precedents on which future projects can be based. We are also active in creating precedents for the infrastructure and transportation sectors. Through our representation of governments, leading exporters and international contractors, we have developed deep experience in infrastructure projects, including toll roads, where the success of a financing depends on significant host government involvement.
