Brad is an associate in the Business practice. His practice focuses on mergers and acquisitions, bank, private equity and venture capital financings, and public securities offerings in a broad range of industries.
Brad has extensive experience in the representation of senior lenders, subordinated lenders and borrowers in connection with domestic and international acquisition and leveraged buyout financings, workouts, debt restructurings, debtor-in-possession financings, structured financings and intercreditor issues.
Mergers & Acquisitions
Brad represents private equity funds, senior management and public and private companies in connection with structuring, negotiating and documenting mergers, acquisitions, dispositions and recapitalizations, including leveraged acquisitions. In addition, he frequently provides general corporate representation to the platform portfolio companies of his private equity fund clients and represents them in connection with strategic add-on acquisitions.
Brad counsels public companies on Securities Exchange Act of 1934, NYSE and NASDAQ compliance and disclosure issues. He has reviewed and drafted numerous 1933 and 1934 Act filings. Brad’s securities experience also includes representation of issuers and underwriters in public securities offerings, including initial public offerings. He has also worked on PIPEs, 144A offerings, shelf registrations, private placements and tender offers.
