Bruce McNamara is a partner and head of the firm's Corporate Governance and Transactions practice in Northern California. He has been a key advisor to numerous private and public companies and their boards of directors and board committees. Bruce regularly represents public and private companies in mergers and acquisitions, capital raising, recapitalizations, venture financings, joint ventures and other strategic transactions as well as general corporate matters.
Bruce has undertaken company-side and banker-side representations to complete numerous public offerings and Rule 144A involving companies in a wide variety of industries including semiconductor, semiconductor equipment, software, biotechnology, communications, computer and Internet. Bruce has counseled numerous companies and investment banks in connection with various equity offerings and convertible debt financings.
Bruce's extensive experience in advising public companies includes providing advice on best corporate governance practices and ‘34 Act reporting and disclosure issues such as Forms 10-K, 10-Q and 8-K; Regulation FD; Regulation G; Section 16; as well as the myriad disclosure and compliance issues in corporate governance under Sarbanes-Oxley and Dodd-Frank.
Bruce has substantial experience in cross-border transactions, including transactions between parties in the United States and Australia, India, China, the United Kingdom and Canada.
Bruce is an Adjunct Professor at Hastings School of Law at University of California, San Francisco, where he teaches courses entitled "Corporations Law" and "Mergers & Acquisitions: Law and Practice." He also has served as a speaker for the National Investor Relations Institute on a variety of public company topics, including SEC disclosure, Regulations FD, G and M-A, and key issues in public company governance.
