Overview

Jim Carroll, a lawyer in the Corporate group, practices in public finance, healthcare, banking, real estate and general business matters. He assists his clients with domestic and international corporate and financial transactions. These include tax exempt bond transactions, finance, letters of credit, corporate acquisitions, ISDAs and various hedging tools and general corporate matters. Jim also devotes significant time to managing real estate and litigation matters.

Finance

For over 30 years, Jim has served as counsel to lenders, including senior lenders, asset-based lenders, mezzanine lenders, secured and unsecured lenders, and leasing companies. He has ongoing representations of major banks in syndicated loans and secured mezzanine lenders in leveraged buyouts. He is borrower’s counsel to many 501(c)3 organizations, including hospital systems, colleges and universities and has represented healthcare and educational institutions in billions of dollars in financings. Recent financings include transactions involving the acquisition, financing, refinancing or restructuring of debt for several major health systems, colleges and universities.

General Business and Real Estate

A significant portion of Jim’s practice is devoted to general business counseling. He serves as the principal legal advisor to businesses and coordinates clients’ legal matters involving strategic transactions, corporate governance, commercial contracts, finance, executive compensation, employment, and litigation. Jim started his legal career as a litigator and still actively oversees litigation matters. He frequently advises on ESOP matters.

Jim has substantial real estate counseling experience during which he has advised clients in connection with financings, acquisitions and dispositions, and leasing throughout the United States and in Europe.

International Counsel

Working across a range of international markets, Jim has handled matters in Warsaw, Prague, Kiev, Bratislava, Bucharest and Istanbul. He successfully opened and oversaw offices in each of those cities. He spent many years collaborating with local counsel to establish and develop these local offices while also focusing on assisting investors across Eastern Europe. Among his overseas “firsts” are his representation of a Fortune 250 company in the first foreign-invested privatization in Poland and assisting in the first foreign-invested privatization in Ukraine.
